Please join the Houston Chapter of the International Association for Energy Economics (IAEE) on Thursday, June 12th, for our monthly meeting. (Note: If paying at the door, please register in advance using the ticket options above.)
TOPIC: How Energy and Chemical Companies Inadvertently Destroy Shareholder Value During Deals, Eric Dietert, Vice President and Partner, Pilko & Associates
Pilko’s observation has been that a majority of large energy and chemical companies needlessly destroy shareholder value by how they manage environmental risks and liabilities during acquisitions; divestitures; joint ventures; and mergers. As a result, their transactions fail to deliver the financial results that were promised.
However, there are opportunities these companies have to create shareholder value by managing environmental issues intelligently during deals. These techniques are an important resource to companies who are growing by acquiring businesses and assets as well as companies who are planning to prune their current portfolio.
This discussion will focus on how leading companies are actively managing this issue to help ensure realization of deal value.

ABOUT THE SPEAKER:
Eric Dietert is a Vice President and partner at Pilko & Associates where he leads Pilko’s Transactions Advisory Practice on a global basis. He manages Pilko’s role as environmental, health & safety advisor in cross-border and global transactions, including acquisitions, divestitures, privatizations, joint venture formations and refinancing in the energy, chemical and power industries.
Some of the recent projects that he has managed include:
- The divestiture of Infineum, a global additives JV sold by Shell and ExxonMobil, which is currently underway.
- Valero’s current refinery divestiture program, which is currently underway.
- Basell on the acquisition of Lyondell to form LyondellBasell Industries, valued at approximately $20 billion (2007).
- The National Titanium Dioxide Company’s acquisition of Millennium Inorganic Chemicals from Lyondell valued at $1.3 billion (2007).
- Targa Resources’ acquisition of Dynegy’s midstream business, valued at $2.5 billion (2005).
- The divestiture of Basell, a global polyolefin JV sold by Shell and BASF to Access Industries, valued at €4.4 billion (2005).
Eric has a BS in chemical engineering from the University of Texas; and an MBA from the Kellogg Graduate School of Management at Northwestern University.
